
BOARD ELECTIONS
Big, exciting changes are coming! At the 2025 Annual Meeting, your Board of Directors presented bold, forward-thinking proposals and members voted yes! These changes will make the election process more engaging and transparent than ever before. Starting in 2026, the board of director elections will be handled differently than in the past.
Your Board recommended this change for several reasons:
- It allows members otherwise unable to attend the annual meeting to participate in director elections.
- It aligns our election process with those of all other Ohio electric cooperatives.
- It ensures annual election of directors, even in the event an annual meeting cannot be held.
- It will improve the corporate governance process.
- It will increase voting participation.
What does the new process look like?
The GMEC Directors have each appointed one person from their district to serve on a nominating committee. The purpose of the nominating committee is to identify and evaluate qualified members to become candidates for upcoming board elections.
In early December, members in districts which have seats up for election (for 2026 it will be Districts 2, 6, and 7) will receive nomination forms in the mail asking for names of individuals they would like to nominate to be placed on the ballot.
The nominating committee will review and recommend the names of candidates they feel would best serve Guernsey-Muskingum Electric Cooperative to be placed on the ballot. A member may also petition – with 50 member signatures – to have their name added to the ballot.
In March, all members will receive their official notice of the Annual Meeting of Members and instructions on how to vote by mail, in the SmartHub app, and online.
